PRACTICE
Business
and Corporate Planning. Our firm's business and corporate
practice is diverse. We have experience in corporate formation
and structure, taxation, corporate governance, rights and duties of officers,
directors and shareholders, preventive law practices to reduce
or eliminate potential problems for small companies, buy-sell
agreements, redemption agreements, employment contracts, competitive
covenants, mergers and dissolutions.
Employment
Law. We have advised businesses in numerous areas of
employment law, including but not limited to, discharge and
discipline of employees, employee policy manuals, discrimination
matters, the Federal Service Contract Act and employee benefits.
We have handled litigation on behalf of employers as well as
employees in regard to the above-referenced matters.
Corporate
Health Care and Risk Management Services. We have advised
health care clients on a number of issues including joint venture
relationships and issues pertaining to Medicare/Medicaid. We
have also reviewed and helped draft numerous hospital policies,
including policies pertaining to informed consent and to termination
of life support.
Real
Estate and Commercial Transactions. We prepare agreements
for the sale, financing and development of real property, including
construction, engineering and architectural design agreements.
We foreclose and defend against the foreclosure of security
interests in both real and personal property, and handle actions
arising out of eminent domain and assessment proceedings. We
advise upon and prepare contracts for commercial transactions
in which our clients are involved and have experience in creditor-debtor
relations and bankruptcy law.
Estate
and Trust Planning and Administration. The firm has
experience in estate planning, probate estate and trust administration.
The firm's estate planning and probate practice includes the
planning for and probate of estates. We prepare complex and simple wills, trusts,
trust wills, living wills, and durable powers of attorney.
Environmental
Law. The firm has represented owner/operators and generators
on State and Federal "Superfund sites", including
negotiations with the Washington Department of Ecology and the
United States Environmental Protection Agency for the investigation
and remediation of sites contaminated with hazardous and toxic
wastes.
Bankruptcy and Debtor-Creditor. The firm has
experience in bankruptcy and debtor-creditor law that includes real estate, agricultural, workouts, Chapter 11 reorganizations, Chapter 7, 12 and 13 bankruptcy filings and other debtor
and creditor transactions. The practice includes collection, receiverships and foreclosure actions. The firm represents creditors and debtors.
